Client Terms of Service

Effective Date: May 6, 2026

Welcome to Smarter Today Inc. (“Smarter Today”, “we”, “us”, or “our”). By accessing or using our platform at joinsmartertoday.com (the “Platform”), you (“Client”) agree to be bound by these Client Terms of Service (“Terms”). Please read them carefully before booking any tutoring session.

These Terms constitute a legally binding agreement between you and Smarter Today Inc., a company incorporated in Ontario, Canada.

1. Acceptance of Terms

By registering an account, booking a session, or using any part of the Platform, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the Platform.

If you are under the age of 18, your parent or legal guardian must review and accept these Terms on your behalf. By using the Platform, your parent or guardian confirms their acceptance and takes full responsibility for your use of the Platform.

2. Description of Service

Smarter Today Inc. operates an online marketplace that connects Clients (students and learners) with independent tutors and educators (“Tutors” or “Vendors”). Smarter Today Inc. facilitates the booking and payment process but is not itself a tutoring service provider.

Tutors are independent contractors and are not employees, agents, or representatives of Smarter Today Inc. Smarter Today does not guarantee the outcome of any tutoring session.

3. Account Registration

To use the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Minors and Parental Consent

Clients under the age of 18 (“Minors”) may use the Platform only with verifiable parental or guardian consent. By allowing a Minor to use the Platform, the parent or guardian:

Accepts full responsibility for the Minor’s use of the Platform
Agrees to supervise the Minor’s interactions with Tutors
Acknowledges that tutoring sessions may take place via video call or online messaging

Smarter Today Inc. reserves the right to request proof of parental consent at any time and to suspend accounts where consent cannot be verified.

5. Booking and Sessions

When you book a tutoring session through the Platform, you are entering into a service agreement directly with the Tutor. Smarter Today Inc. facilitates this booking but is not a party to that agreement.

We encourage all Clients and Tutors to take advantage of a complimentary 15-minute introductory session before committing to paid bookings. This helps ensure compatibility between Client and Tutor.

Session details including time, subject, and format are agreed upon between Client and Tutor through the Platform.

6. Payments

All payments for tutoring sessions are processed through the Smarter Today Inc. platform. By making a payment, you agree to the following:

Payment is required to confirm a booking
All prices are displayed in Canadian Dollars (CAD) unless otherwise stated
Smarter Today Inc. collects payment on behalf of the Tutor and remits payment to the Tutor after deducting our platform fee
Your payment information is processed securely through our third-party payment processor

Smarter Today Inc. is not responsible for any additional fees charged by your bank or payment provider.

7. Refund Policy

We are committed to fairness for both Clients and Tutors. Refund requests are handled as follows:

Refund requests must be submitted through the Platform within 7 days of the session date
All refund requests are subject to an internal investigation by Smarter Today Inc.
We will review the circumstances of the session including communication history, session notes, and feedback from both parties
Our goal is to reach a fair resolution for all parties involved
Smarter Today Inc. reserves the right to approve or deny refund requests at its sole discretion following investigation
If a refund is approved, it will be returned to your original payment method within 5-10 business days

Smarter Today Inc. is not responsible for refunding sessions where the Client failed to attend without reasonable notice to the Tutor.

8. Cancellation Policy

Clients may cancel a booked session subject to the following:

Cancellations made more than 24 hours before the session start time will receive a full credit to the Client’s account
Cancellations made less than 24 hours before the session may be subject to a cancellation fee at the Tutor’s discretion
No-shows without prior notice will not be eligible for a refund or credit

If a Tutor cancels, the Client will receive a full refund or credit.

9. Code of Conduct

By using the Platform, you agree to conduct yourself respectfully and professionally. You must not:

Harass, threaten, or abuse any Tutor or other user
Share inappropriate, offensive, or illegal content
Attempt to solicit Tutors to conduct sessions outside of the Platform to circumvent fees
Misrepresent your identity or qualifications
Use the Platform for any unlawful purpose

Violations of this Code of Conduct may result in immediate suspension or termination of your account without refund.

10. Intellectual Property

All content on the Platform, including but not limited to logos, text, graphics, and software, is the property of Smarter Today Inc. or its licensors and is protected by applicable intellectual property laws.

Session materials shared by Tutors remain the intellectual property of the Tutor. You may not reproduce, distribute, or sell such materials without the Tutor’s express written consent.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Smarter Today Inc. shall not be liable for:

Any indirect, incidental, or consequential damages arising from your use of the Platform
The conduct or performance of any Tutor
Any technical issues, interruptions, or errors on the Platform
Any loss of data or unauthorized access to your account

Our total liability to you for any claim shall not exceed the amount paid by you for the session in question.

12. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.

13. Changes to Terms

Smarter Today Inc. reserves the right to update or modify these Terms at any time. We will notify registered users of material changes via email or a notice on the Platform. Your continued use of the Platform after such notice constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
